Ten countries can form an initial coalition without restricting later participation. Transparent eligibility, separate voting arrangements, fair capacity allocation and service-specific contracts are essential. Membership numbers do not equal revenue.

Membership creates no automatic equity, dividends, loan approval, maintenance entitlement or guarantee liability.

Proposed benefits include negotiated prices, fair service priority, coordinated MRO and training slots, critical supplies, optional single-ticket integration, cargo cooperation and financing preparation. Founding members can influence priorities through the member council and service feedback. Benefits must translate into better cost, reliability, availability or contribution after integration and compliance costs. Discounts must preserve contribution margins and loan obligations; no blanket percentage discount is promised. Pilots should measure landed costs, turnaround, settlement accuracy, incremental bookings, training completion and actual financing closings against the member baseline.

Do airlines keep ownership and commercial independence?

Yes. Membership does not transfer an airline, aircraft, route rights, licences or operational responsibility to PAAC or PAAG. Airlines retain their businesses and commercial decisions. Countries considering new carriers require separate mandates and independently viable operator plans. Integration is optional and contractual: interline services, distribution, purchasing, cargo or management mandates need defined scope, fees, data permissions, performance, liability and continuity. PAAC cannot assume authority to set every member's fares or routes.

Which twelve verticals are included and what launches first?

The scope comprises network coordination, fleet services, MRO, cargo, Connect digital services, Academy training, infrastructure, national aviation development, supplies, SPV architecture, sustainability and finance. This defines the eventual ecosystem, not twelve completed facilities at inception. Initial priorities are services existing qualified partners can deliver under executable contracts: purchasing, supplies, technical coordination, training, paid integration, cargo mandates and finance preparation. The board should rank services by urgency, readiness, margin and capital intensity; ownership of assets follows evidence rather than precedes it.

Why Nairobi and what team will operate the consortium?

Nairobi is the proposed operating headquarters, supported by intended Kenya host engagement and Kenya Airways technical dialogue. The initial proposal provides a full office and 24-person core team, progressing toward 40 as approved work expands. Location and partnership agreements are not represented as executed. Finance mobilisation and technical leadership are central: executive management, CFO/treasury, commercial development, technical/safety, projects, digital/settlement, procurement, legal/governance, HR and administration. The CEO answers to the board and the safety lead has direct board access.

How will governance and member representation work?

Formation must finalise PAAC's lawful corporate form, ownership, charter and signatory powers. The board governs strategy, budgets, borrowing, investment, risk and senior accountability. Independent audit, risk, investment and technical oversight, reserved matters, delegated authority and a conflicts register provide accountability. Interested parties should not approve their own compensation. Donors, lenders and regulators retain their actual approval rights.

PAAG is the founding vision sponsor and proposed contracted strategic management provider. It originates the architecture, convenes partners and coordinates development, financing and agreed specialist services. It could separately be an IP licensor or shareholder if negotiated; the base assumes no automatic founder share percentage. The board approves strategy, outcomes, budgets and delegated authority. The PAAC CEO remains accountable to it; independent committees and the chair do not report to PAAG. Historical founder attribution does not create unlimited control.

The model assumes a management fee of 2% of recognised shared-service revenue; this is not an executed entitlement. A disinterested committee should benchmark scope and staffing, value IP separately, assess stressed affordability and approve taxes, invoice rules, caps and performance review. Success payments require separate measurable triggers and cash affordability. Fair contractual protection can include founder attribution, documented IP, cure periods, compensation for completed work and transition terms. It must coexist with lawful termination for material breach and agreed lender protections.

Operating charges follow consumption: maintenance workscope, training seats, simulator hours, digital transactions, cargo handling or purchased supplies. Capacity reservations may carry agreed minimum or cancellation charges. Debt principal follows financing documents, not an automatically changing usage meter. A USD 100 million facility allocated 40%, 35% and 25% means respective USD 40M, USD 35M and USD 25M liabilities only if lenders and consenting obligors agree. Lower later usage does not erase principal; reallocation needs amendments or novation.

What is the initial funding request and its use?

The initial package is USD 45 million: USD 30 million grant or equivalent external risk capital and USD 15 million repayable concessional loan. Uses are USD 10 million preparation expense and USD 35 million opening operating cash. Year 0 assumes no trading revenue. The modelled unrestricted grant treatment leaves USD 20 million residual book equity after preparation expense. Donor restrictions and accounting require confirmation: a preparation-restricted grant cannot automatically fund operating cash. The USD 40 million Phase 1 growth allowance is deployed through Years 1–5 in the programme cash schedule, not an additional upfront request.

What does funded working capital mean?

Working capital is cash tied up in delivering services before collection, including inventory and receivables less valid supplier credit. Funded working capital means committed resources cover that timing gap. It is neither revenue nor profit. Client settlement funds, restricted deposits and reserves are not automatically available for construction.

Replacing the USD 30 million grant with debt changes liabilities and equity; the all-debt seed sensitivity fails the modelled equity condition despite some favourable coverage metrics. Free membership eliminates compulsory member contributions, not the underlying need for eligible grant support or risk-bearing capital. Guarantees create neither cash nor sponsor equity. If grants fail, reduce uncommitted scope or obtain documented replacement risk capital and rerun the model.

What triggers the move from formation to funded operations?

The formation-to-seed transition requires: lawful corporate form with authorised signatories; board appointed with independent majority; conflicts register established; grant and loan agreements executed with permitted uses confirmed; and a funded workplan approved. No major spending should precede these conditions. The funded workplan must accurately describe the public launch and distinguish preparation from operating phases. Each gate requires recorded board minutes and lender confirmation where applicable.

Can member guarantees replace grant funding?

No. Guarantees create contingent liabilities, not cash or equity. A guarantee that is never called provides no operating liquidity.

All fee arrangements must be documented, disclosed and approved before obligations arise. Duplicate billing between PAAG fees and PAAC payroll must be prevented.

How does revenue build from Year 1 to Year 5?

Phase 1 revenue builds from partner-delivered services with contracted customers. Year 1 revenue is modest; the ramp reflects contracted capacity coming online, member uptake and service expansion. The USD 240 million Year 5 revenue target requires customer and supplier validation. Revenue recognition follows delivered services, not membership numbers or signed letters of intent. Management must distinguish members, qualified prospects, contracted customers and paying anchors; lenders underwrite executable cash flows.

Shared-service surplus is intended for reinvestment in capacity and financial access, not automatic distribution to members or PAAG. The mature base scenario adds global service revenue equal to 25% of African service revenue, or 20% of combined sales. MRO, training, supplies and digital capabilities can serve international customers only after approvals, capacity, quality and competitive pricing are proven. Global revenue is not assumed from Year 1. It requires separate customer development, regulatory approvals and quality certification in each relevant market.

The standalone USD 15 million loan is tested at 6% with principal repaid in Years 3–7. The minimum repayment DSCR is 3.87 in the base case. Under the original longer concessional schedule, Year 5 cash is USD 77.78 million with USD 15 million debt outstanding. The standalone option leaves Year 5 cash of USD 67.25 million and debt of USD 6 million. Loan repayment may extend beyond Year 15 for the full ecosystem case. Lenders should validate cash flow projections independently.

The standalone partner business has a preliminary 15-year liquidity inclusive project IRR of 31.64%; this is a continuation scenario, not an investor exit in Year 5. The full ecosystem core IRR is 9.49% through Year 45, with negative USD 117.78 million NPV at an illustrative 12% discount rate. We therefore seek staged seed and first business funding now, with major facilities approved only after their own demand, engineering, equity, return and financing tests.

Surplus is reinvested in capacity and financial access, not distributed. Development finance institutions retain their own appraisal, approval and monitoring rights.
